Raphael Tawil focuses his practice on commercial and residential real estate transactions, including sales and acquisitions, real estate finance, as well as retail, office and industrial leasing. Mr. Tawil represents a wide variety of clients, including lenders, developers, building owners, landlords, tenants and home buyers, in all stages of drafting, negotiating, and implementing various commercial and residential agreements, including purchase and sale agreements, mortgages, commercial leases, construction contracts, limited liability partnership agreements and operating agreements. Mr. Tawil has represented high net worth individuals and companies in a broad range of industries, including telecommunications, fashion, banking, pharmaceutical, fashion, and healthcare, as well as a Fortune 500 national discount retailer having in excess of 12,000 stores nationwide.  In addition, Mr. Tawil represents manufacturers with respect to asset-based lending and factoring agreements and has served as Associate General Counsel for a major apparel and accessories manufacturer.   
 

Notable representations include the following:

 

  • Acted as counsel to landlord in a 100,000 square foot office lease with the City of New York.

  • Represented a REIT in the acquisition of a residential multi-family dwelling in downtown Brooklyn, New York for $38,500,000.

  • Acted as counsel to the seller of a building in downtown Manhattan for $21,000,000 to a prominent condominium developer. Part of the transaction included the granting of an option by the purchaser to the Seller, to purchase the retail unit of building, once the property is redeveloped by the purchaser.

  • Acted as counsel to a Japanese telecommunications company as tenant with respect to a 40,000 square foot office lease.

  • Acted as counsel to a NYC office building owner with respect to a $41,000,000 refinance.

  • Represented client in connection with the acquisition of a $31,000,000 retail cooperative unit in midtown Manhattan.

  • Acted as counsel to a well-known designer apparel company in connection with a 13,000 square foot retail lease on Fifth Avenue in midtown Manhattan.

  • Acted as counsel to landlord in connection with a retail lease in Soho with a well-known couture apparel company, as tenant.

  • Acted as counsel to a cooperative board, as ground lessor in connection with the negotiation of a ninety nine (99) year retail master lease for the entire retail component and basement of a prominent coop building in midtown Manhattan.

  • Acted as counsel to purchaser with respect to the acquisition of a commercial building in Harlem for $21,500,000. 

  • Acted as counsel to a hedge fund with respect to a 20,000 square foot office sublease with a major financial institution.

  • Represented a hard money lender in table funding agreement with hedge fund.

  • Represented parochial school with respect to a lease in Brooklyn, NY for an entire building.
